1. About these Terms

These Terms and Conditions ("Terms") govern your use of Simply Headshot ("the Service", "we", "us", "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service. These Terms form a binding contract between you and us.

We may update these Terms from time to time. We will notify you of material changes by email. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

2. Service description

Simply Headshot is an AI-assisted headshot enhancement service. You upload a photo, select style options, and our system generates professional-quality headshot images for you to download.

The Service is provided "as is" and "as available." We do not guarantee that outputs will meet your expectations, be suitable for any specific casting platform, or represent you in any particular way. AI outputs can vary, and you are responsible for reviewing and selecting images before using them.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you confirm that you are 18 or over. If we discover that you are under 18, we will close your account immediately.

4. Your responsibility for uploaded content

You are solely responsible for any content you upload. By uploading a photo, you confirm that:

• The photo is of you, or you have the explicit rights and permissions from the person depicted to use the photo for this purpose.
• You own or control the copyright in the photo, or have a licence to use it for this purpose.
• The photo does not infringe any third party's intellectual property, privacy, or other rights.
• Uploading the photo does not violate any law or regulation.

We reserve the right to remove any content that we reasonably believe violates these requirements, without notice.

5. Prohibited content and uses

You must not upload, use, or attempt to generate:

• Images of anyone other than yourself without their explicit, informed consent
• Images depicting any person under 18 years of age
• Content that is sexually explicit or pornographic in nature
• Content that is illegal, defamatory, discriminatory, or harassing
• Images intended to deceive, impersonate, or defraud any person or organisation
• Non-consensual intimate images ("deepfakes") of any individual
• Content designed to circumvent casting platform policies or misrepresent identity to casting professionals

Violation of these prohibitions may result in immediate account termination, referral to law enforcement, and/or a claim for damages.

6. Ownership and licence

Your content

You retain full ownership of all images you upload ("Input Images") and all headshot images we generate for you ("Output Images"). We claim no intellectual property rights over your content.

Our licence to operate the Service

By uploading an image, you grant Simply Headshot a limited, non-exclusive, non-transferable licence to:

• Store and process your Input Image to generate Output Images
• Display your Output Images to you within your account
• Retain your images for the retention periods described in our Privacy Policy

This licence does not permit us to use your images for AI training, share them publicly, sell them, licence them to third parties, or use them in any way other than to deliver the Service to you.

Our Service and platform

The Simply Headshot platform, software, and associated intellectual property remain our property. These Terms do not transfer any rights in our technology to you.

7. Payment and pricing

We offer one-time purchase plans. Current pricing is displayed on our website. All prices are shown in USD unless otherwise stated, and are inclusive of any applicable taxes where required.

Payment is processed securely by a third-party payment processor. You authorise us (or our payment processor) to charge your payment method for the amount shown at checkout. We do not store your card details.

Your account will be credited with the purchased package immediately upon successful payment. Processing of your headshot job begins when you submit a job.

8. Refund policy

Because our Service delivers digital goods, our refund policy is as follows:

• Before downloading: If you have not downloaded any Output Images and are not satisfied, contact us at [email protected] within 14 days of purchase. We will review your case and, at our discretion, offer a full or partial refund or a regen credit.
• After downloading: Once you have downloaded one or more Output Images, the sale is final and no refund will be issued. This is because you have received and retain the digital goods.
• Regen credits: Professional and Premium plans include regen credits. If you are unhappy with results, we encourage you to use these before requesting a refund.
• Technical failures: If a technical failure on our side prevents your job from completing successfully, we will offer a full refund or a free re-run, at your choice.

Refunds that are approved will be returned to your original payment method within 5–10 business days.

9. Service availability and changes

We aim to keep the Service available at all times, but we do not guarantee uninterrupted availability. We may carry out planned maintenance, which we will aim to notify you about in advance.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. If we discontinue the Service entirely, we will provide at least 30 days' notice and offer pro-rated refunds for any unused credits.

10. Limitation of liability

To the maximum extent permitted by applicable law:

• We are not liable for any indirect, incidental, special, or consequential loss arising from your use of the Service, including but not limited to loss of earnings, loss of opportunity, or failure to obtain a casting role.
• Our total liability to you in respect of any claim arising from these Terms or your use of the Service will not exceed the amount you paid for the Service in the 12 months preceding the claim.
• We are not responsible for how casting professionals, platforms, or agents assess or use your headshots.
• We are not responsible for AI output quality variations, including images that you consider unsuitable.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law.

11. Indemnity

You agree to indemnify and hold Simply Headshot, its officers, employees, and contractors harmless from any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your violation of any third party's rights (including intellectual property or privacy rights) in connection with content you upload
• Your use of Output Images in any way that violates applicable law

12. Acceptable use

You agree not to:

• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use automated tools (bots, scrapers) to access the Service in ways not intended for normal user access
• Attempt to gain unauthorised access to other users' accounts or data
• Use the Service to engage in any unlawful activity

13. Governing law and dispute resolution

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.
